We're looking for a Senior Assistant Company Secretary to join our team in London as part of our Finance function.

This is a no.2 position in a company secretarial department which provides a full range of company secretarial services to the Board and Group of a fast-moving FTSE 250 Listed Company.  We are looking for an experienced Assistant Company Secretary who is comfortable with assuming responsibility for global subsidiary compliance and administration however you will also have access to the Board and there are lots of opportunities to get involved in Listed Company work.


Key Responsibilities

Subsidiary governance and group structure

  • Manage compliance obligations across a global portfolio 
  • Manage international external providers to handle local requirements
  • Work with stakeholders across the businesses, legal, tax and finance to deal with ad hoc enquiries
  • Assist the Treasury team with bank account set up, changes in bank mandates, KYC, bank mandates etc
  • Assist with acquisitions and disposals
  • Manage legal entity rationalisation including capital contributions, share for share transfers or business sale agreements

Board support

  • Assist the Company Secretary with Board and Committee agenda planning
  • Take the minutes for the Audit Committee
  • Take point ownership for the Business Unit Board meetings including agenda planning, quality of submissions, minute taking

Share plans and share capital

  • Share plan awards and vesting of discretionary share plans
  • Share plan tax returns
  • Maintenance of issued shares register and reconciliation with the Registrar
  • Share plan reporting to the Group Finance team

Risk Management

  • Assist the Company Secretary in ensuring that the operational risk management framework is operating effectively including attending business unit risk meetings


Your Experience

  • Ideally an ICSA qualified candidate with at least 5 years’ post qualification experienced
  • Experience of cross-jurisdictional operations and good knowledge of rules and regulations in international countries such as China, Singapore, Brazil, Europe and US
  • Strong technical knowledge of the Companies Act and good understanding of equivalent international company law
  • Experience of working for a listed company is advantageous
  • Ability to build relationships and engage with a variety of teams across a fast moving, innovative business with an informal culture
  • Able to manage uneven workload and respond quickly to ad hoc queries from the business
